Terms of Service

These Terms form a legally binding agreement between you and A20Labs, Inc. and govern your access to TruIndee websites, applications, AI agents, Artist Enterprise workspaces, game systems, missions, communities, commerce tools, and connected services.

1. Agreement and contact information

By creating an account, accepting an invitation, purchasing a subscription, or using TruIndee, you agree to these Terms and the TruIndee Privacy Policy. TruIndee is operated by A20Labs, Inc., 1853 Sherman Park Dr STE. C, St Charles, MO 63303. Legal notices may be sent to [email protected].

2. Eligibility and age requirements

Individuals under 13 may not create or directly use a TruIndee account. Individuals ages 13 through 17 may access TruIndee only through a verified guardian-managed Minor Artist Account. The parent or legal guardian must accept these Terms, supervise the minor’s use, authorize commercial activity, and approve legally binding transactions. Users age 18 or older may create, own, administer, and contract through a standard account. You may not use TruIndee if you are legally prohibited from doing so, are evading a prior suspension, or misrepresent your identity, age, authority, or affiliation.

3. TruIndee services

TruIndee may provide AI-assisted music-business guidance; Artist Enterprise workspaces; career planning; onboarding and readiness assessments; educational content; missions, quests, XP, badges, levels, streaks, maps, ranks, and achievements; catalog, rights, royalty, contract, finance, release, marketing, publicity, fan-engagement, booking, and team tools; profiles, communities, collaboration, communications, storefronts, subscriptions, payments, and third-party integrations. Features may be added, changed, restricted, tested, or discontinued.

4. Accounts and security

You must provide accurate information and keep it current. You are responsible for protecting credentials, enabling available security controls, reviewing team access, removing unauthorized users, and promptly reporting suspected compromise. You may not share credentials to bypass subscription limits or security controls. TruIndee may require identity, age, business, payment, tax, ownership, or authority verification.

5. Artist Enterprise roles and authority

An Artist Enterprise may include an artist, guardian, owner, administrator, manager, label representative, attorney, accountant, collaborator, adviser, or other authorized team member. The person creating or controlling a workspace represents that they have authority to submit information, invite users, assign permissions, act for the represented artist or organization, and instruct TruIndee concerning workspace data. A role label does not create employment, fiduciary, partnership, attorney-client, accountant-client, management, agency, or talent-representation relationships with TruIndee.

6. Minor Artist Accounts

A Minor Artist Account must be established and supervised by a verified parent or legal guardian. The guardian controls account ownership, permissions, contracts, payments, payout instructions, public settings, data requests, and deletion decisions. Certain financial, contractual, filing, administrative, ownership, and payout functions may be unavailable to the minor. TruIndee may suspend or restrict a Minor Artist Account if guardian authority cannot be verified or if continued use may expose the minor or the platform to legal or safety risk.

7. Gamification features

TruIndee may use missions, stories, maps, agents, characters, levels, badges, XP, streaks, readiness scores, unlocks, rankings, virtual items, and similar features to organize learning and real-world career progress. Unless expressly stated in separate reward terms, XP, badges, achievements, levels, ranks, and standard virtual items have no cash value, are nontransferable, are not cryptocurrency, securities, ownership interests, stored value, or professional credentials, and do not guarantee representation, employment, funding, bookings, licensing, revenue, or career success.

8. Rewards, discounts, contests, and benefits

TruIndee may separately offer discounts, products, credits, access, promotional opportunities, contest or sweepstakes entries, grants, prizes, or financial benefits. Each offer may be governed by separate eligibility criteria, expiration dates, official rules, sponsor terms, geographic restrictions, tax obligations, and verification requirements. Earning XP does not guarantee a particular reward. TruIndee may correct errors, deny ineligible claims, and revoke benefits obtained through fraud, manipulation, chargeback, duplicate accounts, automation, or violation of applicable terms. Minor Artist Accounts may not claim cash, enter binding promotional agreements, or receive restricted financial benefits without verified guardian approval.

9. No gambling or wagering

TruIndee’s standard progression system is not intended for gambling. You may not wager money, rewards, credits, or virtual items on outcomes; sell or trade XP; operate unauthorized prize pools; manipulate rewards; or convert progression into an unlawful chance-based transaction. Promotions involving chance will be governed by separate official rules and a lawful free method of entry where required.

10. Mission verification and leaderboards

Certain missions may require documents, connected-account verification, manual review, or other evidence. TruIndee may reject incomplete or fraudulent submissions, revoke improperly awarded progress, correct scoring errors, and suspend progression during an investigation. Public leaderboard participation is optional and disabled by default. TruIndee may remove rankings or content that expose private information, result from manipulation, mislead users, or violate community standards.

11. Artificial intelligence

TruIndee agents may generate recommendations, drafts, summaries, classifications, explanations, calculations, and suggested actions. AI outputs may be inaccurate, incomplete, outdated, or unsuitable for your circumstances. You must independently review important outputs and source records before relying on them. TruIndee may limit, refuse, flag, or escalate requests involving illegal conduct, fraud, harassment, exploitation, infringement, unsafe behavior, unauthorized access, or deceptive manipulation.

12. No professional advice or representation

TruIndee provides educational, organizational, and administrative tools. Unless you separately engage a qualified professional under a written agreement, TruIndee does not provide legal representation, tax advice, accounting services, investment advice, medical advice, fiduciary services, licensed talent-agency representation, guaranteed artist management, or guaranteed copyright, trademark, royalty, or business registration. AI agents with legal, financial, management, publicity, booking, or other professional titles are software personas and workflow assistants, not licensed professionals acting as your representative.

13. User Content and ownership

User Content includes music, recordings, compositions, artwork, photographs, videos, text, prompts, messages, metadata, contracts, splits, royalty statements, profiles, documents, and other materials submitted through TruIndee. You retain ownership of your User Content. You grant A20Labs, Inc. a limited, nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, format, transmit, display, and back up User Content only as reasonably necessary to provide TruIndee, follow your instructions, support collaboration, maintain security, comply with law, and enforce these Terms. Uploading music does not transfer ownership to TruIndee.

14. Your representations about User Content

You represent that you own User Content or have permission to submit and use it; that your submission does not violate law, contract, confidentiality duties, intellectual-property rights, privacy rights, publicity rights, or other third-party rights; that ownership, credit, split, royalty, and authorization information is accurate to your knowledge; and that you have authority to disclose confidential materials submitted to TruIndee.

15. Collaborative rights, splits, and disputes

TruIndee may help users document credits, ownership claims, splits, licenses, approvals, and payment allocations. User-entered data may reflect unverified claims, and a digital record does not independently prove legal ownership. TruIndee is not a court, collection society, or rights tribunal and does not adjudicate ownership unless separately appointed through a lawful written process. TruIndee may preserve audit history, restrict disputed edits, or freeze affected records while a dispute is reviewed.

16. Commerce, payments, and payouts

Payments may be processed by third-party providers. You authorize charges, taxes, fees, renewals, and payment processing disclosed at checkout. You are responsible for accurate billing and payout information, applicable taxes, lawful products and services, fulfillment, refunds, customer obligations assigned to you, and compliance with payment-provider rules. TruIndee may delay or restrict payouts to address fraud, chargebacks, identity verification, sanctions, legal requirements, ownership disputes, payment-provider holds, or platform violations.

17. Subscriptions, trials, cancellation, and refunds

Prices, billing periods, feature limits, renewal terms, and trial conversion terms will be disclosed before purchase. Subscriptions may renew automatically until canceled. Cancellation prevents future renewal but does not ordinarily create a retroactive refund. Refund rights may vary by purchase, promotion, location, and applicable law. TruIndee will not intentionally make cancellation materially more difficult than enrollment.

18. Acceptable use

You may not use TruIndee to violate law or third-party rights; infringe copyrights, trademarks, publicity rights, or privacy rights; upload malware; gain unauthorized access; scrape or harvest data without permission; impersonate another person; misrepresent credentials; submit fraudulent identity, ownership, royalty, mission, or payment evidence; manipulate XP, streams, rankings, engagement, fans, votes, or transactions; harass, threaten, exploit, discriminate, spam, facilitate unlawful payola or artificial streaming, evade fees or suspensions, reverse engineer protected portions of the service except where law permits, or use private TruIndee content to build unauthorized competing datasets or models.

19. Community standards

Public and team-facing content must not contain unlawful threats, targeted harassment, sexual exploitation, hate-based abuse, doxxing, nonconsensual intimate material, fraudulent offers, malicious impersonation, unauthorized confidential information, dangerous criminal instructions, or content that infringes another person’s rights. TruIndee may remove content, restrict communications, reduce visibility, suspend features, or terminate accounts to protect users and the service.

20. TruIndee intellectual property

The TruIndee platform, software, visual world, game systems, missions, agent characters, branding, interfaces, documentation, and original content are owned by A20Labs, Inc. or its licensors. These Terms grant a limited, personal, revocable, nonexclusive, nontransferable right to use TruIndee. They do not transfer ownership of TruIndee intellectual property. Feedback and suggestions may be used without restriction or compensation, but TruIndee does not claim ownership of confidential User Content included in feedback.

21. Copyright complaints

A copyright notice should identify the protected work, identify and locate the allegedly infringing material, provide contact information, include the required good-faith and accuracy statements, and include a physical or electronic signature. TruIndee may remove disputed content and terminate repeat infringers where appropriate.

22. Third-party services

TruIndee may link to or integrate with third-party platforms. Your use of those services is governed by their separate terms. A20Labs, Inc. is not responsible for third-party availability, security, content, fees, decisions, data handling, API changes, account suspensions, payment holds, or professional outcomes.

23. Beta and experimental features

Features identified as beta, preview, experimental, early access, or test features may be incomplete, unstable, inaccurate, or changed without notice. Do not use experimental features as the sole storage location for critical contracts, financial records, rights data, or creative assets.

24. Suspension and termination

You may stop using TruIndee and request account closure. TruIndee may suspend or terminate access for material violations, fraud, security risk, nonpayment, illegal conduct, threats to users or infrastructure, repeated infringement, legal requirements, loss of guardian verification, prolonged inactivity where permitted, or discontinuation of a service. When practicable, we may provide notice and an opportunity to appeal. Provisions concerning ownership, payments, licenses already granted, disputes, disclaimers, liability, indemnification, and enforcement survive termination where applicable.

25. Disclaimers

To the maximum extent permitted by law, TruIndee is provided as is and as available. A20Labs, Inc. does not guarantee uninterrupted operation, error-free information, specific revenue, streams, followers, fan growth, bookings, press coverage, financing, licensing placements, deal offers, legal registrations, royalty recovery, chart placement, or career success. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

26. Limitation of liability

To the maximum extent permitted by law, A20Labs, Inc. and its owners, officers, employees, contractors, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, opportunities, or business interruption. To the maximum extent permitted by law, aggregate liability arising from TruIndee will not exceed the greater of the amount you paid to TruIndee during the 12 months before the event giving rise to the claim or 100 United States dollars. These limits do not apply where prohibited by law or to liability that cannot legally be limited.

27. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless A20Labs, Inc. from third-party claims arising from your User Content, transactions, professional services, violation of these Terms, infringement of another person’s rights, fraudulent conduct, unlawful conduct, or misuse of TruIndee. This obligation does not apply to the extent a claim was caused by A20Labs, Inc.’s own unlawful conduct.

28. Informal dispute resolution

Before filing a covered formal claim, each party agrees to send a written notice describing the dispute and requested resolution and to allow at least 30 days for good-faith informal resolution. Notices to A20Labs, Inc. must be sent to [email protected] and A20Labs, Inc., 1853 Sherman Park Dr STE. C, St Charles, MO 63303.

29. Binding individual arbitration and opt-out

Adult users agree that covered disputes not resolved informally will be resolved through binding individual arbitration rather than in court, except for eligible small-claims matters, qualifying intellectual-property claims, requests for urgent injunctive relief, government or regulatory complaints, and matters that cannot legally be arbitrated. A user may opt out of arbitration by sending a written notice to [email protected] within 30 days after first accepting the arbitration agreement. The notice must include the user’s name, account email, and an unambiguous statement that the user opts out of arbitration. Arbitration will be administered under consumer rules and by an administrator identified in the checkout or acceptance flow. No provision is intended to waive a minor’s nonwaivable rights or bind a minor beyond what applicable law permits.

30. Class-action and jury-trial waiver

To the extent permitted by law and only for users who have not timely opted out of arbitration, covered disputes must be brought on an individual basis and not as a plaintiff or class member in a class, collective, consolidated, or representative proceeding. Where a covered dispute proceeds in court, each party waives a jury trial to the extent legally permitted. This provision does not waive rights that applicable law makes nonwaivable.

31. Governing law and venue

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules, except where the law of your location requires otherwise. Disputes excluded from arbitration will be brought in the state or federal courts serving St. Louis County or the City of St. Louis, Missouri, unless applicable law requires another forum.

32. Changes to the service or Terms

TruIndee may modify the service and these Terms. We will provide reasonable notice of material changes. Changes will not apply retroactively where prohibited by law. Material changes to arbitration provisions will be separately disclosed and will not eliminate an applicable opt-out right.

33. General terms

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. You may not transfer your agreement without permission. A20Labs, Inc. may transfer it as part of a financing, merger, acquisition, reorganization, or asset transfer. These Terms, the Privacy Policy, purchase terms, promotion rules, and incorporated policies form the agreement governing TruIndee.
